These Platform Terms govern access to and use of the Melodies Records music distribution platform and related client services.

1. Scope and Acceptance

These Melodies Records Distribution Platform Terms & Conditions (“Platform Terms”) govern access to and use of the Melodies Records distribution portal, including any related client portal, label account, label sub-account, catalog, release delivery, analytics, finance, storage, notification, ticketing, pitching, smart-link, content-management, and other distribution-related features made available by Melodies Records (collectively, the “Platform”).

By creating, activating, accessing, or using a Platform account, submitting a release, or otherwise using the Platform, you agree to these Platform Terms.

These Platform Terms may supplement a separate distribution agreement, service agreement, order form, onboarding agreement, or other written agreement between you and Melodies Records (a “Main Agreement”). If a signed Main Agreement conflicts with these Platform Terms, the signed Main Agreement will control to the extent of the conflict.

2. Definitions

“Client” means an artist, label, rights holder, manager, representative, or other person or organization authorized to use the Platform.

“Label Account” means an account that may manage one or more artists or sub-accounts.

“Sub-account” means an account created or managed under a Label Account and subject to the permissions and limits assigned to it.

“Release” means any single, EP, album, track, artwork, metadata, lyrics, credits, identifiers, audio file, or related material submitted through the Platform.

“DSP” means a digital service provider, music service, social platform, content platform, download store, streaming service, or other destination to which a Release may be delivered.

“Content” means all audio, artwork, text, metadata, names, trademarks, logos, lyrics, credits, videos, files, and other materials submitted to or through the Platform.

3. Account Eligibility and Responsibility

You must provide accurate, current, and complete information when creating or using an account. You are responsible for keeping your login credentials secure and for all activity occurring through your account.

You may not share credentials with unauthorized persons, attempt to access another user’s account, bypass security controls, or interfere with the operation of the Platform.

Label Accounts are responsible for activity performed by their authorized sub-accounts. Melodies Records may apply account limits, role restrictions, or additional verification requirements.

You must promptly notify Melodies Records if you believe an account, password, email address, or access token has been compromised.

4. Limited Platform License

Subject to these Platform Terms, Melodies Records grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform solely for managing music distribution and related services made available to your account.

You may not copy, reverse engineer, scrape, resell, sublicense, probe, disrupt, overload, or attempt to derive the source code or internal systems of the Platform except where such restriction is prohibited by applicable law.

5. Release Submission and Metadata

You are responsible for ensuring that every Release and all accompanying metadata are accurate, complete, and authorized before submission.

You must provide any information reasonably required for delivery, including artist names, track titles, release titles, credits, songwriters, composers, producers, release dates, territories, language, explicit-content information, identifiers, artwork, audio files, and other required metadata.

Melodies Records may reject, return, pause, request changes to, or refuse to deliver a Release that is incomplete, misleading, technically invalid, inconsistent with DSP requirements, or otherwise unsuitable for distribution.

Saving a draft does not constitute submission or acceptance for distribution. A Release is submitted for distribution only when the applicable distribution action is completed through the Platform.

6. Rights, Ownership, and Authorization

You retain ownership of rights that you lawfully own in your Content.

By submitting Content, you represent and warrant that you own or control all rights, permissions, licenses, and consents required to distribute, reproduce, communicate, make available, monetize, display, store, process, and otherwise use the Content as necessary to provide the services.

You must not submit Content that infringes copyright, trademark, publicity, privacy, neighboring rights, contractual rights, or any other rights of a third party.

If you submit Content on behalf of another artist, label, songwriter, producer, rights holder, or other party, you represent that you are authorized to act on that party’s behalf.

7. Distribution and DSP Delivery

Melodies Records may deliver approved Releases to selected DSPs and territories according to the distribution preferences available to your account.

Delivery does not guarantee acceptance, publication, availability, placement, monetization, search visibility, artist-profile mapping, editorial support, release timing, or continued availability on any DSP.

DSPs control their own ingestion rules, review processes, content policies, availability, pricing, territories, artist mapping, takedowns, and service operations. A Release may be delayed, rejected, modified, hidden, removed, or made unavailable by a DSP for reasons outside Melodies Records’ control.

Delivery status shown in the Platform is operational information and may not update in real time.

8. Release Dates, Updates, and Takedowns

You are responsible for selecting appropriate release dates and providing sufficient lead time for delivery.

Melodies Records may restrict distribution of a Release whose requested release date has already passed or does not satisfy delivery requirements, while still allowing the Release to remain saved as a draft where supported.

After submission, changes to metadata or files may require an update request. Update requests may be handled through the Platform’s ticketing or request-update system.

Takedown requests may require processing time and may not take effect simultaneously across all DSPs. Certain DSP copies, user-generated content, cached pages, claims, or third-party uses may remain available after a takedown for reasons outside Melodies Records’ control.

9. Technical and File Requirements

Audio, artwork, and other files must satisfy the technical requirements displayed in the Platform or otherwise communicated by Melodies Records.

Files may be validated for format, dimensions, encoding, integrity, or other technical requirements. Passing a technical validation does not constitute legal or editorial approval.

Melodies Records may replace, reject, or require re-upload of corrupted, invalid, incomplete, unsafe, or unsupported files.

10. Storage and File Access

The Platform may use third-party infrastructure and cloud-storage providers, including services operated by Google and Cloudflare, to store, process, transmit, or retrieve files and Platform data.

Melodies Records may maintain file identifiers and storage references that associate artwork and master audio with a Release or track.

Storage integrations may require reconnection, relinking, or recovery procedures if credentials, tokens, permissions, folder references, or external APIs change or fail.

You should retain your own original copies of all masters, artwork, metadata, agreements, and other important files. The Platform is not intended to be your sole archival backup.

11. Analytics and Reporting

Analytics displayed in the Platform may include streams, usage, platform, territory, catalog, or other performance information derived from imported reports, DSP data, or other reporting sources.

Analytics may be delayed, incomplete, estimated, adjusted, corrected, or reported at different levels of granularity depending on the source.

Daily, monthly, quarterly, or other reporting views are available only to the extent supported by the underlying data.

Analytics are informational and do not constitute a final royalty statement, invoice, accounting record, or payment obligation unless expressly identified as such.

12. Revenue, Statements, and Adjustments

Revenue information displayed in the Platform may be based on statements received from DSPs, distributors, partners, or other sources.

Amounts may be subject to adjustments for refunds, chargebacks, taxes, currency conversion, withholding, corrections, fraud deductions, DSP adjustments, revenue-share arrangements, recoupments, or other contractually permitted deductions.

A displayed balance is not necessarily payable until the applicable statement, review, approval, and payment process is completed.

Melodies Records may correct reporting or accounting errors when discovered and may issue replacement or adjusted statements.

13. Revenue Share, Recoupment, and Payouts

Where applicable, revenue shares, sub-account shares, recoupments, or other financial arrangements may be configured for a Client or account.

Any percentage or amount shown in the Platform is subject to the applicable Main Agreement or written arrangement.

Payout timing, method, minimums, verification requirements, taxes, fees, and payment procedures may vary by Client and jurisdiction.

You are responsible for providing accurate payment and tax information and for meeting your own tax obligations.

14. Fraud, Artificial Streaming, and Manipulation

You must not engage in, purchase, encourage, or knowingly benefit from artificial streaming, automated activity, click fraud, bot traffic, misleading promotion, stream manipulation, fraudulent transactions, fake engagement, or other activity designed to manipulate DSP systems or reporting.

Melodies Records may investigate suspicious activity, place payments on hold, suspend delivery, request supporting information, remove Content, issue takedowns, apply adjustments, or suspend or terminate access where fraud or manipulation is suspected.

DSP or partner determinations relating to fraudulent activity may affect reporting and payments.

15. Prohibited Content and Conduct

You may not use the Platform to submit or distribute unlawful, infringing, fraudulent, deceptive, malicious, defamatory, or unauthorized Content.

You may not upload malware, executable attacks, intentionally corrupted files, or material designed to interfere with the Platform or third-party systems.

You may not impersonate another artist, label, rights holder, or person; falsify metadata; misuse artist profiles; or knowingly submit identifiers that belong to unrelated recordings.

16. Content Identification and Rights-Management Services

Certain Releases may be eligible for content-identification, fingerprinting, platform-rights-management, or similar services.

Eligibility may depend on ownership, exclusivity, DSP rules, third-party agreements, or other requirements.

You must not enroll Content in a rights-management service unless you have the necessary rights to do so. Melodies Records may disable or remove such services if ownership is disputed or eligibility requirements are not satisfied.

17. Request Update Tickets and Communications

The Platform may provide a Request Update or ticket system for communication between Clients and Melodies Records personnel.

Ticket messages form part of the operational record of the requested change. A ticket may remain open while marked Pending and may be closed when Melodies Records marks it Done.

Closing a ticket indicates that the Platform workflow for that request has ended; it does not guarantee that every DSP has completed or reflected the requested change.

Melodies Records may retain ticket history for operational, security, audit, and support purposes.

18. Notifications and Electronic Communications

You agree to receive operational communications relating to account access, release status, update requests, security, platform maintenance, reports, payments, and other service matters through the Platform or by email.

Operational communications are not marketing communications and may be required to provide the service.

Where separate marketing consent is required, marketing communications will be handled according to the applicable consent and privacy notices.

19. Service Availability and Maintenance

Melodies Records may modify, maintain, suspend, restrict, or discontinue all or part of the Platform at any time, including for maintenance, security, infrastructure changes, service limits, third-party outages, or emergency conditions.

The Platform may enter maintenance mode when required to protect data, preserve system integrity, or respond to infrastructure limits.

Melodies Records does not guarantee uninterrupted or error-free operation.

20. Security and Abuse Prevention

Melodies Records may use authentication controls, rate limits, session controls, access restrictions, audit logs, anti-abuse tools, security verification, and other technical measures to protect the Platform.

You may not attempt to defeat or bypass these controls.

Melodies Records may temporarily restrict an account, request additional verification, revoke active sessions, or require a password reset where reasonably necessary for security.

21. Suspension and Termination

Melodies Records may suspend or terminate Platform access where you materially breach these Platform Terms, fail required verification, misuse the Platform, engage in fraudulent or infringing activity, create security risk, fail to satisfy contractual obligations, or where continued service would violate applicable law or third-party requirements.

Termination of Platform access does not automatically eliminate outstanding rights, accounting obligations, takedown requirements, audit records, payment adjustments, or provisions that by their nature should survive termination.

22. Third-Party Services

The Platform may depend on third-party services, including DSPs, email providers, storage providers, infrastructure providers, analytics services, content-recognition services, payment providers, and other technology vendors.

Melodies Records is not responsible for outages, policy changes, account actions, data delays, errors, removals, API changes, or service limitations caused by third parties outside Melodies Records’ reasonable control.

23. Privacy and Data Processing

Personal information and account data will be handled in accordance with the applicable Melodies Records Privacy Policy and other privacy notices made available to you.

You must not use the Platform to collect, upload, or disclose personal information that you are not authorized to provide.

Where required, additional data-processing terms may apply.

24. Confidentiality

Non-public Platform information, internal communications, unreleased Content, financial reports, account data, security information, and other information identified as confidential or reasonably understood to be confidential must not be disclosed to unauthorized third parties.

This obligation does not apply to information that is lawfully public through no breach of these Platform Terms or that must be disclosed by law.

25. Disclaimers

To the maximum extent permitted by applicable law, the Platform and related services are provided on an “as available” basis.

Melodies Records does not guarantee that a Release will be accepted by any DSP, achieve any level of streams, revenue, discovery, playlisting, audience growth, monetization, or commercial success.

Nothing in the Platform constitutes legal, tax, accounting, or investment advice.

26. Limitation of Liability

To the maximum extent permitted by applicable law and subject to any mandatory rights that cannot lawfully be excluded, Melodies Records will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, opportunity, goodwill, data, or anticipated revenue arising from use of the Platform.

Any specific liability cap or remedy stated in a signed Main Agreement will control where applicable.

27. Indemnity

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, and reasonable costs arising from Content you submit, your infringement or violation of third-party rights, your breach of these Platform Terms, or your misuse of the Platform.

This section does not expand your obligations beyond what is permitted by applicable law or a controlling Main Agreement.

28. Changes to the Platform Terms

Melodies Records may update these Platform Terms from time to time.

Material updates may be communicated through the Platform, by email, or by posting a revised version with a new effective date.

Continued use of the Platform after an updated version becomes effective constitutes acceptance of the updated Platform Terms to the extent permitted by applicable law.

29. Governing Agreement and Severability

If any provision of these Platform Terms is held unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

These Platform Terms, together with any applicable Main Agreement and incorporated policies, constitute the agreement governing use of the Platform.

The governing law, venue, dispute-resolution procedure, and identity of the contracting operator should be stated in the applicable Main Agreement or confirmed in the final published version of these Platform Terms.
